Annual compliance for a private limited company begins with company records, accounts, governance decisions and the events that occurred during the year. Build a company-specific checklist with verified dates and responsible people. Filing one return does not complete every company or tax obligation.

Clear scope. No surprises.
The written engagement confirms your deliverables and costs before work starts.

Identify preparation, approval and submission responsibilities
Coordinate the filings included in the written engagement
Retain acknowledgements and record unresolved items
Outside the standard scope
—All registrations, taxes and licences as one automatic package
—Historical defaults, notices or additional submissions unless scoped
—Guaranteed authority processing, approval or penalty avoidance
Is annual filing the same as every company obligation?+
No. Keep company-registry filings, income tax, GST, employment and sector-specific work separate. The engagement must specify what is included.
How do the usual company annual-filing deadlines differ?+
For the ordinary AGM case, section 137 requires financial statements within 30 days of the AGM, while section 92 gives 60 days for the annual return. No-AGM, adjourned-meeting, OPC and extension situations need separate treatment. Record the applicable trigger and checked date for each submission.
Agree the period, records, forms, professional review and follow-up scope first. Itemise taxes, authority charges and work outside the engagement.
Why should the annual checklist include events during the year?+
An annual return records company information, but it does not replace a separate filing triggered by an actual director, office, capital or auditor event. Compare the year-end records with the event acknowledgements and allocate unresolved items before signing the annual pack.

Question
What matters
Next step
Governance
Organise registers, decisions and company records.
Retain reviewed approvals, not just reminders.
Accounts
Review statements and applicable audit coordination.
Resolve reconciliation and record gaps.
ROC records
Financial statements and the annual return are separate submissions. Select the applicable AOC-4 variant and MGT-7 or MGT-7A.
MGT-7A is for OPCs and qualifying small companies; confirm the relevant company status and current filing instructions.
Income tax
Track the separate company tax workflow.
Keep its acknowledgement separately from ROC records.
Event-driven work
Review appointments, director changes, capital, office and other events separately from the annual filing pack.
Do not automatically add ADT-1 or routine annual director KYC every year; identify the event or current KYC cycle first.
Fee details, estimates & quote variables
₹5,000. Professional fee. Applicable GST, government charges and agreed third-party costs are extra.
One annual engagement. Confirm the entity, year, included filings and record-volume limits in the written scope; historical periods and additional services are separate.
Ask for professional fees, applicable taxes, government charges and external costs to be itemised. Confirm the current form and charge basis for the company rather than relying on a generic package price.
Reporting period and number of filings
Completeness of accounts and supporting records
Applicable certification or audit coordination
Historical issues and additional submissions
Preparation depends on records, review and signatory readiness. Verify each statutory date for the relevant company, event and period. Authority processing is separate from the preparation estimate.

BEFORE YOU AUTHORISE THE WORK
Start with the year and the company’s actual events.
Provide the financial-year details, company classification, meeting records and previous filing evidence. Request a list of included forms and a separate list of tax, accounting, audit or historical-correction work. Each deadline should have a recorded basis; do not assume a package title covers every obligation or that one filing completes the year.
These questions help you agree the scope. They do not change the displayed price, promise an authority decision or establish that your case has been professionally reviewed.
